Challenge:LA (referred to in the Official Terms & Conditions as “Challenge”) and website(s), (referred to as the “website,” or “Site”) are organized and hosted by Civic Innovation Lab. including the Services provided through this website are properties of Civic Innovation Lab. Therefore, throughout these Official Terms & Conditions the words “we,” “us,” “our,” and the “Organizer” refer to Civic Innovation Lab.

Any individual or team that submits an entry to the Challenge will collectively be referred to as “you,” “team,” “your,” “your team,” “Entrant,” or “Applicant” throughout these Official Terms & Conditions. “Primary Contact” refers to the Entrant whose name is listed first on the submission form, in the Primary Contact entry field. All entry information and submissions, including team and concept details, shall be collectively referred to herein as the “submissions” or each as a “submission.” Prior to submitting your submission(s), you must also affirmatively confirm that you have read, understand, and agree to these Official Terms & Conditions by clicking on the check box on the submission form.

Throughout these Official Terms & Conditions any mentions to “Criteria” refer to the Criteria that submissions will be evaluated on for Challenge:LA.

In these Official Terms & Conditions, all mentions of “Sponsor” or “Sponsors” refer collectively to all Sponsors of Challenge:LA. Additionally all mentions to “Judge(s)” or “Jury” refer collectively to the Judges Civic Innovation Lab and/or Sponsors have selected for Challenge:LA.

Acceptance Agreement:

Any Entrant or team who submits an entry to Challenge:LA must comply with all Official Terms & Conditions, and winning the Challenge is contingent upon fulfilling all requirements. By participating, you agree to these Official Terms & Conditions and the decisions of Civic Innovation Lab, Sponsors, and Challenge Judges, which are final and binding in all respects. Void outside of the 50 United States and the District of Columbia, and where prohibited, taxed, or restricted by law. All federal, state, and local laws and regulations apply.


(A) Eligibility & Permissions:

Challenge:LA is open to all individuals 18 years of age or older at the time of entry. The Primary Contact must be a legal U.S. Resident or Citizen throughout the duration of the Contest. Team submissions are accepted and strongly encouraged.

The following individuals from Civic Innovation Lab and Challenge Sponsor(s) are not eligible to participate in Challenge:LA: Employees, officers, and directors,, members of their immediate families (spouses, parents, children, siblings, and their spouses), and/or those living in the same household of each (whether or not related).

By entering, each Entrant grants permission for the use of his/her submission, and his/her name, and likeness, to be posted on the Internet (including the website) in connection with this Challenge, and the advertising, promotion, and publicity of the Challenge, and otherwise, as stated in these Official Terms & Conditions (as solely determined by Organizer). In addition, each Entrant hereby grants Civic Innovation Lab and Sponsors a perpetual, irrevocable, royalty-free, worldwide, freely transferable license to use, distribute and republish the material posted in the Entrant’s submission (the “Publicly Posted Material”) in any medium for any purpose. Each Entrant warrants and represents that he/she has all right and authority to grant all permissions provided under these Official Terms & Conditions. Notwithstanding anything to the contrary, however, there is no obligation of Civic Innovation Lab, Sponsor or any other person or entity to post or make any use of the submission of any particular Entrant, or of any Entrant’s information. Please refer to the Privacy Policy at for more information about the use of the information you enter into the Civic Innovation Lab website.

Entrants retain full intellectual property (“IP”) rights to the concepts described in any submission (the “Concepts”). Please see below under (2) Terms & Conditions > (B) Intellectual Property for further details about IP rights.

(B) To Enter:

Access the Challenge:LA submission form on the Civic Innovation Lab website or any of our affiliates sites. Complete all required fields of the submission form before 11:59pm PST on the submission deadline. Once you click the “submit” button, you will no longer be able to make edits or updates to your submission. Please note that only completed submission forms are eligible for consideration.

(C) Submission Criteria:

Each Entrant must complete all of the required fields in the Challenge submission form in accordance with these Official Terms & Conditions. Any submission considered to be in non-compliance with these Official Terms & Conditions will be subject to disqualification. The following Terms apply to all submissions:

  1. Submission must be in English.

  2. Applicant must be a legal U.S. Resident or Citizen throughout the duration of the Challenge.

  3. Applicant must be at least 13 years old in order to participate in the Challenge.

  4. Submission must describe a project that would be implemented in Los Angeles County.

  5. Submission must be capable of being implemented within 12 months of the completion of the Challenge.

  6. Submission must be the 100% original and sole creation of the Entrant, and all right, title and interest, including but not limited to the copyright in any submission, must be owned solely by the submitting Entrant.

  7. Submission must be truthful and accurate in all respects.

  8. Submission may not violate any law, rule, or regulation.

  9. Submission may not contain any virus, bugs, or other deleterious material.

  10. Submission may not contain or depict, for example but not limited to, profanity, defamatory statements, words, or symbols widely considered offensive to individuals of any certain race, ethnicity, religious, sexual orientation, or socioeconomic group, threats to any person, place, business, group, or world peace; and each Applicant warrants and represents that his/her submission complies with all of those conditions.

  11. Submission may not infringe upon any third party’s rights, including but not limited to copyright, patent or trademarks/tradenames/logos, or rights of privacy or publicity, or contain material that is or may be considered defamatory, slanderous or libelous, or portray or depict any person, product, or entity in a false light.

(D) Conditions of Submission:

Only fully completed entry forms are eligible. Proof of submission will not be deemed to be proof of receipt by Civic Innovation Lab and/or Sponsor(s). Notwithstanding anything to the contrary, Civic Innovation Lab reserves the right to disqualify any submission that Civic Innovation Lab deems inappropriate, according to the Official Terms & Conditions. Submissions that do not conform to these Official Terms & Conditions or are submitted in any manner other than stated in these Official Terms & Conditions will be disqualified.

(E) Challenge Winner Determination:

As submissions are received, all eligible submissions will be judged by a panel of Judges determined by Civic Innovation Lab to have the required knowledge and experience to apply the judging criteria. Subject to verification and compliance with these Official Terms & Conditions, the judging will be based and scored upon the Challenge criteria as well as the judge’s own discretion as to the quality of each entry. When notification of the winners is completed, or as soon as is practical thereafter, the submissions selected as winners will be listed on the website for public viewing. The judging scores will not be posted or otherwise available. Feedback will not be provided on an individual basis.

Agreeing to receive e-mail news updates does not affect chances of winning. Posting a link for the Challenge on Facebook or Twitter or other social media does not increase your chances of winning.

(F) Attendance:

Selected winners may be required to participate in Challenge activities organized by Civic Innovation Lab and/or Sponsor(s) in order to maintain eligibility, including but not limited to the Mayor’s #techLA conference in Los Angeles on October 10, 2015. Please note that travel expenses incurred will not be reimbursed.

(G) Challenge Termination:

Civic Innovation Lab and Sponsor(s) reserve the right to suspend, postpone, cease, terminate or otherwise modify the Challenge, or any Entrant’s participation in the same, at any time, without assigning any reason, at their sole option and discretion, and Civic Innovation Lab and Sponsor(s) shall have no liability, whatsoever, in any such event.

After the date of initial notification to each winning team, if a potential winning team cannot be contacted and does not reply with appropriate affidavit and contact information within three (3) days after the first attempt to contact such potential winner, an alternate Entrant will be selected in his or her place based on the discretion of Civic Innovation Lab and/or Challenge Judges. Should a Challenge winner drop out or be determined ineligible, Civic Innovation Lab and/or the Challenge Judges may select an alternate based on scoring and at their discretion, to encourage diversity of projects.

No purchase necessary. Void where prohibited. Odds of winning depend on number of eligible submissions received and determination of the Challenge Judges.


(A) Privacy:

By participating in the Challenge, Entrants hereby agree to the Civic Innovation Lab collection and usage of their personal information and acknowledge that they have read and accepted the Civic Innovation Lab Privacy Policy at

(B) Intellectual Property:

Entrants retain ownership of their Concepts, including any software, research, or other intellectual property (“IP”) that they develop in connection therewith, subject to the license granted to Civic Innovation Lab and Sponsor(s) to use Publicly Posted Materials as set forth above.

Civic Innovation Lab and Sponsor(s) recognize that Entrants are concerned about protecting their IP, and are committed to responsible information handling practices. However, neither Civic Innovation Lab, nor Sponsor(s), nor any of the Judges, staff or other participants are agreeing to non-disclosure agreements. By taking part in the competition, Entrants agree that Civic Innovation Lab, Sponsor(s), and Judges do not assume any liability whatsoever for any disclosures of Concepts, intellectual property, or other information (inadvertently or otherwise). In this regard, Entrants should also recognize that Civic Innovation Lab and its affiliates may receive many business plans and proposals, in some cases applying to similar markets and relating to similar businesses, and that such parties may in fact be engaged in similar markets or businesses themselves.

Each Entrant represents and warrants that use of materialist Publicly Posted Materials in accordance with the Official Terms & Conditions therein will not infringe the intellectual property rights of any third party. Each Entrant shall indemnify, defend, and hold harmless Civic Innovation Lab and its affiliates from and against any loss, damage, costs, liability, and expenses (including reasonable attorneys’ fees) arising from or out of any third-party action or claim that use of the Publicly Posted Materials in accordance with the Official Terms & Conditions therein infringes the intellectual property rights of such third party.

Civic Innovation Lab retains all right, title, and interest in and to any materials that Civic Innovation Lab provides to Entrant in connection with the contest. Entrants may only use such materials for the purposes of this Challenge and for the duration of this Challenge. If Entrants use non-Civic Innovation Lab materials, they are responsible for securing the necessary rights to use such non-Civic Innovation Lab materials for the purposes of the submission. Entrants warrant that the submission is original, that it has been written by the stated authors, that the submission contains no libelous or other unlawful statements, and that it and does not contain any materials that violate any personal or proprietary rights of any other person or entity. Please see the (1) Rules > (C) Submission section above for further details.

(C) System Use and Limitations:

In the event of a dispute, entries made by Internet will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Civic Innovation Lab with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.

If for any reason the Challenge is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, human error, or any other causes beyond the control of Civic Innovation Lab that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Challenge, Civic Innovation Lab reserves the right to disqualify any individual who tampers with the entry process and to cancel, terminate, modify, or suspend the Challenge. Neither Civic Innovation Lab, nor Sponsor(s), assumes any responsibility for any error, omission, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, entries. Neither Civic Innovation Lab, nor Sponsor(s), is responsible for any problems or technical malfunction of any computer online systems, servers, or providers, computer equipment, software, or failure of any e-mail or entry to be received by Civic Innovation Lab on account of technical problems or traffic congestion on the Internet or at any web site, any combination thereof, or otherwise, including any injury or damage to Entrant's or any other person's computer related to or resulting from participation in or downloading any materials from the Challenge. Civic Innovation Lab is also not responsible for late, lost, illegible, incomplete, stolen, or misdirected entries.

Any attempt by an Entrant to deliberately damage any website or undermine the legitimate operation of the Challenge may be a violation of criminal and civil laws and should such an attempt be made, Civic Innovation Lab and Sponsor(s) reserve the right to seek damages from any such person to the fullest extent permitted by law.

(D) Dispute Resolution/Choice of Law/Limitation of Liability:

Except where prohibited, each Entrant agrees that:

  1. Any and all disputes, claims, and causes of action arising out of or connected with the Civic Innovation Lab website, or any Challenge, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court or the appropriate State Court located in Los Angeles, California;

  2. Under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental, and consequential damages and any other damages, and any and all rights to have damages multiplied or otherwise increased;

  3. To the fullest extent permitted by applicable law, no claim under these Official Terms & Conditions shall be joined to any other claim, including any claim involving any other current or former Entrant, and no class action proceedings shall be permitted; and

  4. In no event shall any claim, action or proceeding by you be instituted more than three (3) years after the cause of action arose.

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Terms & Conditions or the rights and obligations of the Entrant and submissions in connection with any Challenge, shall be governed by, and construed in accordance with, the laws of the State of California without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of California.

(E) Indemnity:

Each Entrant agrees to indemnify, defend, and hold Civic Innovation Lab, Sponsor(s) and their respective officers, directors, employees, and representatives harmless from and against any and all claims, liabilities, damages, losses, and expenses (including without limitation reasonable fees and costs for attorneys and investigations) arising out of, based on, or in connection with (i) Entrant’s access to, participation in or other use of Civic Innovation Lab, Challenge:LA, or Site; (ii) a dispute with another Entrant or third party relating to such access, participation or use; (iii) Entrant’s breach of these Official Terms & Conditions; (iv) violation of any law or the rights of any third party, including intellectual property rights; or (v) Entrant’s Concepts, IP or Publicly Posted Materials.

(F) Force Majeure:

Neither Civic Innovation Lab nor Sponsor(s) shall be liable in damages for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to fire, flood, natural or man-made epidemic, earthquake, explosion, act of God or public enemy, satellite or equipment failure, labor dispute or strike, riot or civil disturbance, insurrections, terrorist threat or activity, war (declared or undeclared) or any federal, state, or local government law, order, regulation, restrictions (including the denial or cancellation of any export of other necessary license), public health crisis, order of any court or jurisdiction, and/or any other cause not reasonably within Civic Innovation Lab and/or Sponsors’ control.
